Acceptance of terms
These terms apply when you engage 201 Web Services for a project, and to your use of this website. Accepting a proposal, paying a deposit, or asking us to begin work means you accept them.
Where a signed proposal or contract says something different, that document takes precedence. These terms fill in everything it does not cover.
Services
We design and build websites and web applications: strategy, interface design, front-end and back-end development, content management, deployment, and ongoing support.
Every project is written from first principles rather than adapted from a template. What that means for your build — the pages, features, integrations and timeline — is set out in your proposal.
Project scope
Your proposal is the definition of scope. It lists what we are building, what is included, and what is not.
Work outside that scope requires a separate quotation. If you ask for something the proposal does not cover — extra pages, a new integration, a change of direction after a stage has been signed off — we will quote for it before starting. We will not carry out additional work and invoice you for it afterwards, and we will not quietly absorb it and let the timeline slip.
Scope changes are normal. Projects evolve as they are understood. We simply price and schedule them openly.
Client responsibilities
Most delays on a web project come from missing material rather than missing development time. To keep to schedule, you agree to provide:
- Written content, or a clear brief for us to write it
- Logos, brand guidelines, photography, and any other assets, in usable formats
- Access to domains, hosting, and any third-party accounts we need
- Timely feedback at each review stage — usually within five business days
- One named decision-maker who can approve work on your behalf
You confirm that you own or are licensed to use everything you give us, and that we may use it to build your project.
Where material or feedback is outstanding, the timeline moves by the length of the delay. We will always tell you when that is happening rather than letting a deadline pass silently.
Payments
- Fees, currency and the payment schedule are set out in your proposal
- Projects begin once the deposit has been received
- Invoices are due within the period stated on them, normally seven days
- Work may be paused on materially overdue accounts, after we have told you
- Third-party costs — domains, hosting, licences, paid plugins — are separate unless the proposal states otherwise
- Deposits cover work already scheduled and reserved, and are non-refundable
Revisions
Every project includes the number of revision rounds defined in the proposal. A round means consolidated feedback at a review stage, gathered and sent together rather than arriving piecemeal.
Revisions refine work within the agreed direction. Rethinking a direction that has already been approved is a scope change, and is quoted as described above.
Additional rounds beyond those included are available at our standard rate, quoted before we proceed.
Intellectual property
Ownership of the final deliverables transfers to you once the project has been paid for in full. That covers the designs, the custom code written for your build, and the content we produced for it.
We retain ownership of our reusable internal code, frameworks, tooling and development processes. These predate your project, are used across our work, and are not yours to resell — but you have a perpetual licence to keep using them as part of your site, for as long as you like.
Third-party components keep their own licences. Fonts, libraries and plugins remain governed by whoever publishes them.
Until final payment is made, the deliverables remain ours.
Portfolio rights
Unless we agree otherwise in writing, we may display completed projects in our portfolio — on this website, in proposals, and on our social channels — including screenshots, a description of the work, and your name and logo.
If your project is confidential, or you would rather it stayed unpublished, tell us and we will leave it out. There is no charge for that, and we would prefer to know at the start than to take something down later.
We never publish anything you have shared with us in confidence, whether or not the project appears in the portfolio.
Hosting & third-party services
Websites depend on services we do not run: hosting platforms, domain registrars, email providers, payment gateways, plugins and APIs.
Each of those is subject to its own terms, pricing and uptime. We will recommend sensible options, set them up properly, and help you deal with them — but we cannot be responsible for outages, price changes, policy changes, or a provider discontinuing a service.
Where accounts are registered in your name, they remain yours, and you keep control of them.
Limitation of liability
We take real care with our work: projects are tested across devices, speeds and assistive technology before launch. Even so, no website is guaranteed to be free of every fault.
To the extent the law allows, our total liability in connection with a project is limited to the fees you have paid us for it. We are not liable for indirect or consequential losses — lost profits, lost revenue, or loss of data — or for problems caused by third-party services, by changes made to the site after handover, or by material you supplied.
Nothing here limits liability that cannot lawfully be limited.
Termination
Either of us may end an engagement in writing.
- You are invoiced for work completed and costs committed up to that point
- Deposits and payments already made are not refunded
- Once that invoice is settled, you own the deliverables completed so far
- We will hand over files and access in a usable state rather than leaving you stranded
We may also end an engagement where an account is materially overdue, where a project has stalled for an extended period without response, or where the working relationship has become untenable. We would raise it with you first.
Changes to these terms
These terms may be revised from time to time. The date at the top of this page reflects the current version.
Changes are not retroactive: a project already underway is governed by the terms in force when it was agreed, together with its proposal.
